Leonidou & Rosin (L&R) is committed to providing quality legal representation to the construction industry. Our firm successfully represents clients in all areas of construction, ranging from planning and design, bidding, contract negotiation, construction and post-construction claims resolution. Since its formation, the attorneys at L&R have provided a full complement of legal services to meet the needs of our clients including:
- Contract Negotiation and Drafting. We have represented owners, general contractors, subcontractors and suppliers in all phases of public and private project development including the negotiation and drafting of contracts. We are familiar with all of the major construction industry forms including those of the American Institute of Architects (AIA), the Associated General Contractors (AGC), the Engineers Joint Contracts Documents Committee (EJCDC) and the Construction Management Association of America (CMAA). Our expertise is not limited however to the use of standard forms. We have extensive experience drafting a wide variety of agreements crafted to meet the unique requirements of particular situations. We are also capable of producing construction related corporate documents such as joint venture agreements and have expertise in the unique intellectual property issues, such as software licensing and trade secret protection, which have evolved in the construction industry. We also handle general real estate and business issues. We are fully conversant with MBE/WBE/DBE requirements and reporting procedures for a wide range of public entities.
- Administrative Agency Practice and Procedures. L&R lawyers have significant skill in assisting clients with compliance with the complex regulatory rules of the various California state, regional and local public entities. In particular, L&R has helped clients with CalTrans bid and contract compliance issues. We are also very familiar with the rules and procedures of the California Contractors State Licensing Board.
- Bid Protests. We have both prosecuted and defended bid protests at almost every level of public project development. Our experience includes documentation of protests, appearances before various California State and local government agencies and trial court litigation of protests.
- Informal Claims Dispute Resolution and Mediation. Because of our extensive hands-on experience with all phases of construction, we are often able to assist our clients with informal resolution of claims through various processes, including mediation. We have worked with most of the recognized construction mediators and services and bring a high level of credibility to the process. Thus we are often able to assist our clients in avoiding the process of actual litigation by negotiating the resolution of construction disputes before they evolve into lawsuits.
- Litigation and Arbitration. Our attorneys can and do take cases to trial. L&R attorneys have tried cases in state and federal court and before various administrative agencies. We have successfully handled arbitrations before individual arbitrators, arbitration panels and dispute resolution boards. This experience is absolutely vital to our representation of our clients because when we say that we will try a case, we mean it. We have tried cases which involve almost the entire spectrum of construction related disputes. These cases range from relatively straight-forward collection cases to extremely complex issues involving delay and disruption, actual and constructive acceleration, claims for lost labor and equipment productivity, liquidated damages, and extended project costs including home-office overhead. We have dealt with issues raised by defective project specifications and design, cardinal change, impossibility of performance, differing site conditions, failures of material, soils-related problems, environmental hazards, warranty and contract termination. Often these cases have arisen in the context of mechanic’s liens, stop notices and federal Miller Act bond proceedings. In addition, we deal with insurance carriers and sureties on a daily basis.
- General Business Litigation. Because of the significant range of experience of our lawyers, we also handle general business, trade secret and unfair competition matters.
- Employment Counseling and Litigation. Because of the long history of our lawyers in dealing with a wide variety of construction clients, we have developed a subspecialty of employment law in the construction industry. We assist clients in developing comprehensive employee policy manuals and employment agreements which are specifically tailored to the particular needs of the client’s workforce. We counsel clients with respect to employee issues on an on-going basis and have appeared before the California Labor Commissioner, the Worker’s Compensation Appeals Board and in court in defense of wrongful termination and discrimination claims.
- General Business Counseling. We advise our clients on a broad range of general business matters, specifically including business formation and incorporation, corporate record keeping, business transactions, dissolutions and reorganizations. We have experience in preparing and reviewing a wide range of business contracts, including purchase agreements and licensing agreements.
